SignalOps Solutions provides operational consulting and related services including, but not limited to:

  • Governance structures

  • Escalation frameworks

  • Staffing and operational structure recommendations

  • Visual operational assets

  • Strategic operational reviews

  • Implementation planning

Services are advisory and strategic in nature unless otherwise explicitly agreed upon in writing.


4. No Guarantee of Results

SignalOps Solutions provides operational recommendations, frameworks, guidance, and strategic insight based on information available during the engagement.

Operational outcomes may vary based on implementation, leadership decisions, staffing, organizational participation, market conditions, operational maturity, and other factors outside of SignalOps Solutions’ control.

SignalOps Solutions does not guarantee:

  • Specific financial outcomes

  • Revenue increases

  • Staffing outcomes

  • Employee performance improvements

  • Operational transformation timelines

  • Organizational adoption success

  • Business growth results

  • Specific KPI improvements

Clients remain solely responsible for all implementation decisions and operational execution.


5. Advisory Scope Limitations

Operational Advisory services are strategic consulting engagements and are not intended to function as:

  • Full operational management

  • Outsourced executive leadership

  • Emergency operational support

  • 24/7 support coverage

  • Employee supervision

  • Human resources management

  • Legal services

  • Financial services

  • Cybersecurity monitoring

  • Technical support helpdesk services

  • Managed IT services unless explicitly defined in writing

All engagements remain subject to defined scope limitations.


6. Client Responsibilities

Clients agree to:

  • Provide accurate operational information

  • Participate in scheduled meetings and discovery sessions

  • Maintain communication necessary for project completion

  • Review deliverables in a timely manner

  • Ensure internal authorization for requested work

  • Maintain responsibility for implementation decisions

SignalOps Solutions is not responsible for delays caused by incomplete information, unavailable stakeholders, delayed approvals, or organizational non-participation.


7. Scope Limitations & Change Requests

All services remain limited to the scope outlined within approved invoices, proposals, booking selections, advisory plans, or written agreements.

Additional requests outside agreed scope, including but not limited to:

  • expanded documentation

  • additional meetings

  • implementation labor

  • revision requests

  • operational management tasks

  • additional departments

  • expanded framework development

  • emergency requests

  • custom reporting

  • onsite engagements

may require separate pricing, revised timelines, or additional agreements.

SignalOps Solutions reserves the right to decline expanded scope requests.

Only written agreements, approved proposals, invoices, or documented scope confirmations shall define active obligations.


8. Bookings & Scheduling

All meetings, advisory sessions, consultations, reviews, and operational engagements must be scheduled through approved SignalOps Solutions booking methods.

SignalOps Solutions reserves the right to:

  • Decline or reschedule bookings

  • Adjust scheduling availability

  • Refuse engagements outside defined scope

  • Limit booking frequency

  • Modify scheduling policies at any time

Clients are responsible for ensuring availability during scheduled meeting times.

SignalOps Solutions is not responsible for missed meetings caused by:

  • Incorrect contact information

  • Technical issues on the client side

  • Calendar errors

  • Internet outages

  • Scheduling misunderstandings caused by inaccurate information provided by the client


9. Missed Meetings, Cancellations & Rescheduling

Clients are expected to attend all scheduled sessions and meetings.

Unless otherwise agreed in writing:

  • Meetings canceled with less than 24 hours notice may be considered forfeited

  • Missed meetings may not be refundable

  • Repeated no-shows or rescheduling may result in suspension or termination of services

  • Advisory retainers do not guarantee unlimited rescheduling availability

SignalOps Solutions reserves the right to bill for reserved consulting time impacted by late cancellations, repeated rescheduling, or no-show appointments.

SignalOps Solutions may reschedule meetings when necessary due to emergencies, illness, scheduling conflicts, operational limitations, or unforeseen circumstances.


10. Payment Terms

Payment terms may vary by engagement type.

Unless otherwise stated:

  • All invoices are due upon receipt

  • Deposits and onboarding fees are non-refundable

  • Advisory retainers are billed monthly

  • Project work may require partial or full payment prior to work beginning

  • Failure to submit payment may pause active work and deliverables

SignalOps Solutions reserves the right to suspend or terminate services for unpaid balances.


11. Refund Policy

Due to the strategic and intellectual nature of consulting services, refunds are generally not provided once work has begun.

This includes:

  • Discovery sessions

  • Operational reviews

  • Framework development

  • Documentation creation

  • Strategic planning

  • Advisory sessions

  • Visual operational assets

  • Consultation time

Any refund considerations remain solely at the discretion of SignalOps Solutions.


12. Intellectual Property

Unless otherwise agreed in writing, SignalOps Solutions retains ownership of:

  • Internal methodologies

  • Framework structures

  • Operational models

  • Proprietary processes

  • Templates

  • Design systems

  • Branding

  • Visual assets

  • Reusable documentation systems

  • Consulting methodologies


Clients receive a limited non-transferable license to use purchased deliverables internally within their organization.

This protection applies to all SignalOps Solutions materials and content including, but not limited to:

  • website content

  • blog articles

  • downloadable resources

  • operational templates

  • workflow systems

  • framework structures

  • process documentation

  • graphics and illustrations

  • social media content

  • educational materials

  • presentations

  • branding assets

  • operational diagrams

  • implementation roadmaps

  • digital downloads

  • member resources

  • advisory materials

  • recorded sessions

  • videos

  • PDFs

  • training materials

  • proprietary methodologies


SignalOps Solutions retains all ownership rights, copyrights, branding rights, and intellectual property protections to all original content unless otherwise agreed in writing.


All visual graphics, templates, frameworks, diagrams, illustrations, downloadable materials, operational assets, and related products may contain SignalOps Solutions branding, identifiers, or watermarks.


Clients may not remove, alter, obscure, crop, manipulate, or redistribute SignalOps Solutions watermarks, branding elements, ownership identifiers, or proprietary markings without prior written authorization.

Clients may not:

  • Resell deliverables

  • Reproduce frameworks commercially

  • Redistribute proprietary materials

  • Claim SignalOps Solutions methodologies as their own

  • Share paid materials externally without written permission

  • Reuse templates, blog content, graphics, social media content, operational systems, or visual assets for resale or commercial redistribution

  • Copy, modify, scrape, reproduce, republish, or distribute SignalOps Solutions content without written authorization

  • Repurpose SignalOps Solutions materials, branding, workflows, diagrams, templates, educational resources, or consulting materials for competing commercial services


13. Confidentiality

SignalOps Solutions will make reasonable efforts to maintain confidentiality regarding client operational information shared during active engagements.

Clients acknowledge that online communication platforms, file transfers, email systems, and third-party software may carry inherent security risks.

Clients should avoid sharing highly sensitive credentials, regulated information, protected health information, classified data, or other legally restricted materials unless specifically authorized through secure written agreement.


14. Remote Services & Communication

Unless otherwise agreed in writing, all services are provided remotely.

Remote services may include:

  • Microsoft Teams

  • Zoom

  • Email

  • Shared documents

  • Messaging platforms

  • Video conferencing

  • File-sharing systems

  • Other approved collaboration tools

Dedicated communication channels do not constitute:

  • unlimited support

  • emergency operational response

  • guaranteed immediate replies

  • operational management services

  • 24/7 advisor availability

Response times may vary based on:

  • business hours

  • workload

  • scheduling

  • holidays

  • emergencies

  • availability

In-person meetings, onsite consulting, workshops, travel-based engagements, or physical operational reviews are not included within standard pricing and may require separate custom scoping, travel fees, lodging expenses, transportation reimbursement, scheduling approval, and written agreement.


15. Limitation of Liability

To the maximum extent permitted by law, SignalOps Solutions shall not be liable for:

  • Indirect damages

  • Lost profits

  • Business interruption

  • Data loss

  • Operational disruption

  • Staffing decisions

  • Third-party implementation outcomes

  • Organizational losses

  • Consequential damages

  • Missed business opportunities

Total liability shall not exceed the total amount paid by the client for the specific engagement giving rise to the claim.


16. Independent Relationship

SignalOps Solutions operates as an independent consulting provider.

Nothing within these Terms shall be interpreted as creating:

  • Employment relationships

  • Partnerships

  • Joint ventures

  • Fiduciary relationships

  • Agency relationships

Clients remain fully responsible for their own business operations and decisions.


17. No Employment, Fiduciary, or Managed Operations Relationship

SignalOps Solutions operates solely as an independent consulting provider.

Nothing within any engagement shall be interpreted as:

  • employment

  • agency

  • partnership

  • fiduciary duty

  • managed operational responsibility

  • outsourced executive leadership

  • internal operational department status

  • legal representation

  • financial management

  • compliance oversight

Clients retain sole responsibility for all operational, staffing, leadership, compliance, financial, legal, cybersecurity, and implementation decisions.

SignalOps Solutions does not assume responsibility for business outcomes, staffing actions, employee management, implementation execution, or organizational decision-making.


18. Communication Boundaries

Operational Advisory and recurring services include only the communication access specifically outlined within purchased plans.

Dedicated communication channels, including Teams or similar platforms, do not constitute unlimited support access.

Response times may vary based on availability, project schedules, holidays, business hours, and workload.

SignalOps Solutions does not guarantee emergency response availability unless separately contracted in writing.


19. Chargebacks & Payment Disputes

By purchasing services, clients acknowledge that consulting, advisory sessions, framework development, strategic reviews, digital deliverables, documentation, planning, operational analysis, and consultation time constitute rendered professional services.

Clients agree not to initiate improper chargebacks or payment disputes for:

  • completed meetings

  • delivered documentation

  • advisory sessions

  • strategic guidance

  • operational analysis

  • delivered digital assets

  • completed consultation time

  • completed framework development

SignalOps Solutions reserves the right to suspend services, revoke deliverable access, pursue collections, dispute improper chargebacks, or pursue legal remedies where necessary.


20. Project Timelines

Estimated project timelines are projections only and may change based on:

  • Scope adjustments

  • Stakeholder availability

  • Client participation

  • Additional requests

  • Operational complexity

  • Scheduling constraints

SignalOps Solutions is not liable for timeline impacts caused by external or client-controlled factors.


21. Website Use

Users agree not to:

  • Misuse website forms

  • Attempt unauthorized access

  • Copy website content without permission

  • Interfere with website functionality

  • Submit fraudulent information

  • Use the website for unlawful activity

SignalOps Solutions reserves the right to restrict or terminate website access at its discretion.

SignalOps Solutions may utilize third-party software and platforms including, but not limited to:

  • Payment processors

SignalOps Solutions is not responsible for outages, security incidents, limitations, or operational issues caused by third-party providers.


23. Right to Refuse or Terminate Services

SignalOps Solutions reserves the right to decline, suspend, limit, or terminate services, access, communication channels, bookings, or engagements at any time for reasons including but not limited to:

  • non-payment

  • abusive conduct

  • harassment

  • repeated scope misuse

  • operational conflicts

  • unethical requests

  • illegal activity

  • misrepresentation

  • repeated no-shows

  • excessive communication abuse

  • boundary violations

  • unreasonable demands

  • conflict of interest concerns

Termination does not waive outstanding payment obligations.


24. Termination of Services

SignalOps Solutions reserves the right to decline, suspend, or terminate services at any time for reasons including:

  • Non-payment

  • Abusive conduct

  • Scope misuse

  • Repeated boundary violations

  • Illegal activity

  • Misrepresentation

  • Operational conflicts

Clients may terminate recurring services according to any written agreement or cancellation terms established during onboarding.


25. Force Majeure

SignalOps Solutions shall not be held liable for delays, interruptions, cancellations, or inability to perform services resulting from events outside reasonable control, including but not limited to:

  • Internet outages

  • Utility failures

  • Illness

  • Family emergencies

  • Severe weather

  • Government actions

  • Third-party platform outages

  • Natural disasters

  • Labor shortages

  • Transportation disruptions

  • Cyber incidents

  • Acts of God


26. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of Michigan, without regard to conflict of law principles.

No recommendation shall be interpreted as a guarantee of business outcome, compliance status, staffing success, legal protection, cybersecurity readiness, or financial result.


29. No Professional Regulated Advice

SignalOps Solutions does not provide:

  • legal advice

  • employment law guidance

  • HR compliance services

  • tax advice

  • accounting services

  • cybersecurity certification

  • regulatory compliance guarantees

  • financial advisory services

Clients should consult licensed professionals where required.


30. Client-Controlled Implementation

Operational implementation, staffing adjustments, workflow changes, governance modifications, system changes, and organizational decisions remain fully controlled and executed by the client.

SignalOps Solutions shall not be liable for implementation outcomes, employee reactions, operational disruptions, staffing impacts, or organizational consequences resulting from client implementation decisions.


31. AI-Assisted Workflow Limitation

While AI-assisted tools may support drafting, organization, transcription, summarization, formatting, workflow analysis, operational organization, documentation preparation, or deliverable creation, clients acknowledge that automated systems may produce inaccuracies, omissions, or incomplete interpretations.

Clients remain responsible for reviewing operational decisions, implementation actions, and organizational changes prior to execution.


32. Non-Exclusivity

SignalOps Solutions reserves the right to provide services to multiple clients, industries, organizations, or operational environments unless otherwise agreed upon in writing.


33. Generalized Operational Knowledge

SignalOps Solutions retains the right to utilize generalized operational knowledge, non-confidential methodologies, lessons learned, organizational experience, workflow concepts, and consulting approaches gained during engagements for future business operations, provided no confidential or identifying client information is disclosed.


34. Marketing, Testimonials & Generalized Results

SignalOps Solutions may reference generalized operational improvements, anonymized engagement outcomes, non-confidential workflows, generalized organizational patterns, or high-level project experience for portfolio, educational, marketing, case study, promotional, or business development purposes, provided no confidential or identifying client information is disclosed without permission.

Any direct use of:

  • company names

  • logos

  • identifiable operational details

  • screenshots

  • recordings

  • testimonials

  • public endorsements

  • branded materials

shall require separate client authorization unless otherwise agreed in writing.

Clients may voluntarily provide reviews, testimonials, endorsements, or feedback which SignalOps Solutions may use for promotional or marketing purposes unless otherwise requested in writing.


35. Record Retention & Operational Materials

SignalOps Solutions may retain project materials, communications, meeting notes, operational documentation, deliverables, framework revisions, and related consulting records for purposes including:

  • continuity of services

  • future engagements

  • advisory support

  • operational reference

  • documentation history

  • internal business records

  • legal protection

SignalOps Solutions is not responsible for permanent archival, backup storage, document preservation, or records management on behalf of clients.
 

Clients remain solely responsible for maintaining copies of all deliverables, documentation, operational materials, and business records provided during engagements.
 

SignalOps Solutions reserves the right to remove, archive, delete, or discontinue retention of client-related materials at its discretion unless otherwise agreed in writing.


36. Client Authorization

The individual purchasing or engaging services represents and warrants that they possess the authority to act on behalf of the organization and authorize consulting engagements, operational reviews, information sharing, and related service participation.

SignalOps Solutions shall not be responsible for internal disputes regarding purchasing authority, organizational permissions, or unauthorized engagement approvals.


37. Client Environment Access

Clients may voluntarily provide access to internal systems, communication platforms, workflows, documentation, operational environments, or related materials solely for purposes related to the agreed engagement scope.

SignalOps Solutions:

  • does not assume ownership or control over client systems

  • does not provide cybersecurity monitoring or compliance management unless explicitly agreed in writing

  • is not responsible for pre-existing system vulnerabilities, data integrity issues, internal permissions, or client-side access management

Clients remain fully responsible for:

  • granting and revoking permissions

  • access control management

  • internal security policies

  • user account management

  • compliance obligations

  • data governance


38. Limited Access Liability

SignalOps Solutions shall not be liable for:

  • unauthorized internal access granted by the client

  • client-side permission misconfigurations

  • third-party platform vulnerabilities

  • internal employee misuse

  • data exposure resulting from client-managed systems

  • operational disruptions caused by client-controlled environments


39. Meeting Notes & Transcription

Clients acknowledge that meetings, consultations, workshops, operational reviews, or advisory sessions may involve note-taking, transcription assistance, AI-assisted summarization, recording tools, or organizational documentation processes for purposes related to:

  • operational analysis

  • documentation development

  • framework creation

  • deliverable preparation

  • implementation planning

  • internal consulting organization

By participating in meetings or consultations, clients consent to reasonable documentation and organizational practices related to service delivery unless otherwise requested in writing prior to the meeting.


40. Client Materials & Working Documentation

Clients may voluntarily provide operational documentation, workflows, process materials, organizational structures, internal procedures, meeting notes, reports, screenshots, templates, or related materials for purposes related to consulting services.

Clients retain ownership of their original internal operational materials.

However, SignalOps Solutions retains ownership of:

  • derivative frameworks

  • consulting methodologies

  • generalized operational structures

  • reusable systems

  • formatting approaches

  • operational models

  • implementation structures

  • non-client-specific templates

  • organizational methodologies


41. Electronic Communication Consent

Clients acknowledge and accept communication through electronic platforms including email, Teams, messaging systems, shared documents, scheduling systems, and virtual meeting platforms.

Clients accept inherent risks associated with electronic communication systems and third-party platforms.


42. No Warranty

Services, recommendations, deliverables, templates, operational frameworks, consulting materials, graphics, and advisory guidance are provided “as is” without warranties of any kind, express or implied.


43. Dispute Resolution

Any disputes arising from services, bookings, deliverables, or engagements shall first attempt to be resolved through good-faith informal negotiation.

If unresolved, disputes may be submitted to binding arbitration within the State of Michigan before pursuing litigation where permitted by law.


44. Claim Limitation Period

Any claims related to services or engagements must be submitted within one year of the applicable engagement or delivery date.


45. Client Cooperation

Clients acknowledge that successful consulting engagements require timely communication, stakeholder participation, access to relevant operational information, and organizational cooperation.
 

SignalOps Solutions shall not be liable for delays, incomplete outcomes, or operational limitations caused by lack of participation or delayed client response.


46. Credentials & Sensitive Access

Clients should avoid sharing passwords, MFA credentials, regulated data, financial account access, protected personal information, or sensitive security information unless explicitly required and separately agreed upon in writing.

SignalOps Solutions is not responsible for credential misuse, internal security failures, or client-managed access vulnerabilities.


47. Revision Limitations

Framework revisions, documentation updates, visual modifications, deliverable adjustments, and consultation revisions remain subject to reasonable scope limitations.

Excessive revisions, expanded modifications, or materially altered requests may require separate project scoping or additional fees.


48. Digital Deliverables

Clients acknowledge that most deliverables are provided digitally unless otherwise agreed in writing.

SignalOps Solutions is not responsible for:

  • third-party software compatibility

  • client formatting issues

  • printing inconsistencies

  • unsupported file systems

  • client-side software limitations


49. Public Representation

Clients may not publicly misrepresent SignalOps Solutions as internal staff, permanent operational management, legal advisors, executive leadership, or managed operational providers without written authorization.


50. Business Responsibility

Clients remain responsible for maintaining their own insurance, compliance obligations, legal protections, cybersecurity practices, operational risk management, and internal governance.
 

51. Survival

Sections related to payment obligations, intellectual property, confidentiality, liability limitations, dispute resolution, ownership protections, and related legal protections shall survive termination of services.


52. Severability

If any portion of these Terms is determined unenforceable, remaining provisions shall remain in full effect.


53. Entire Agreement

These Terms constitute the full agreement between SignalOps Solutions and the client regarding use of services and supersede prior discussions or understandings unless otherwise agreed in writing.
